TERMS AND CONDITIONS FOR USE OF BEATS BANK
AGREEMENT BETWEEN USER (“You”) AND SENTRIC MUSIC

The Sentric Music Limited (“we”, “us”, “Sentric”) BEATS Bank site (“BEATS Bank”) is comprised of various web pages operated by Sentric and hosted by S Wave International Corp and subsidiaries d/b/a DISCO (“DISCO”).

The BEATS Bank is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein and these terms and conditions form an agreement (“Agreement”) between Sentric and you in relation to your use of the BEATS Bank. Your use of the BEATS Bank constitutes: (i) your agreement to all such terms, conditions, and notices contain herein; and (ii) your agreement to the terms and conditions of DISCO, which can be found here https://www.disco.ac/company/legal/terms.

As Sentric may amend these terms from time to time, every time you wish to use the BEATS Bank, please check these terms regularly to ensure you understand the terms that apply at the time. The terms were most recently updated on 1st September 2026.

You agree to automatically receive updated versions of the BEATS Bank and/or third-party software. You acknowledge that the use of BEATS Bank may require third party software that is subject to third party licenses.

IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST NOT USE THE BEATS BANK NOR ANY OF THE PRODUCTS AND SERVICES THAT CAN BE ACCESSED ON THE BEATS BANK.

Your use of the BEATS Bank is also governed by our Privacy Policy, found here: https://www.sentric.com/privacy-policy.

MODIFICATION OF THESE TERMS OF USE

Sentric reserves the right to change the terms, conditions, and notices under which the BEATS Bank is offered, including but not limited to the charges associated with the use of the BEATS Bank (if any).

LINKS TO THIRD PARTY SITES

The BEATS Bank is hosted within the DISCO platform, and both the BEATS Bank and DISCO may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of Sentric and Sentric is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.

USE OF THE BEATS BANK

The BEATS Bank is Sentric's proprietary music collaboration platform and sample clearance storefront designed for exclusive content curation and talent matching. It functions as a dedicated site to facilitate the lawful licensing of samples of Sentric's publishing roster and Sentric represented musical works (“Works”) to allow you to access and download (“Works”) to create new musical works (“New Works”). BEATS Bank is NOT a so-called ‘Streaming Service”.

By using the BEATS Bank, you acknowledge that use of the BEATS Bank DOES NOT include any rights in the copyrights and/or any related rights whatsoever in any of the Work(s) showcased on the BEATS Bank.

To download any Work(s) for the purposes of interpolation and creation of a New Work, you must register an account with DISCO and download the Work(s) therefrom.

IMPORTANT NOTE:

PRIOR TO ANY USE (SAVE FOR USE DURING INTERPOLATION PROCESS) AND/OR EXPLOITATION OF ANY KIND OF ANY NEW WORK(S), A VALID AND BINDING SAMPLE USE LICENCE AGREEMENT MUST BE ENTERED INTO BETWEEN YOU AND SENTRIC (SUBJECT TO APPROVED CLEARANCE) BY CONTACTING TOM.HAYS@BELIEVE.COM & JOSH.BULLOCK@BELIEVE.COM FOR SAMPLE CLEARANCE REQUESTS.

It is possible that Work(s) may no longer be available for license, so Sentric advise that you apply for a license after download of a Work(s) via DISCO as soon as possible. If the Work(s) you have downloaded or accessed is no longer available for licence, Sentric will advise upon approval and licence request but will otherwise have no liability to you to the fullest extent of the law.

You may only use the BEATS Bank if:

  1. you are at least 16 (sixteen) years of age and may legally agree to this Agreement and access the BEATS Bank, as the BEATS Bank is only offered to those at least 16 (sixteen) years of age;
  2. if you are using the BEATS Bank for your own non-commercial purposes, this Agreement forms a binding agreement between you and us;
  3. if you are using the BEATS Bank on behalf of an organisation, you are agreeing on behalf of that organisation to be bound by this Agreement and you have the authority to bind the organisation to this Agreement;
  4. you acknowledge the terms of our Privacy Policy; and
  5. you must ensure that all of your personnel who access the BEATS Bank comply with this Agreement.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the BEATS Bank, you warrant to Sentric that you will not use the BEATS Bank for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

You may not use the BEATS Bank in any manner which could damage, disable, overburden, or impair the BEATS Bank or interfere with any other party's use and enjoyment of the BEATS Bank site.

You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the BEATS Bank.

You shall not access or attempt to access any Work(s) that you are not authorised to access. Violations of any system or network security may result in civil or criminal liability.

You shall not use the BEATS Bank nor any of our products and services in any manner intended to circumvent the terms of this Agreement and your obligations under it.

You shall not use BEATS Bank as if it were a streaming service.

PROHIBITED USE

Whilst using the BEATS Bank, you will not: Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.

Further, you shall: (i) not upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; (ii) upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; (iii) advertise or offer to sell or buy any goods or services for any business purposes; (iv) conduct or forward surveys, contests, pyramid schemes or chain letters; (v) download any file posted by another user of the BEATS Bank that you know, or reasonably should know, cannot be legally distributed in such manner; (vi) falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; (vii) restrict or inhibit any other user from using and enjoying the BEATS Bank; (viii) violate any code of conduct or other guidelines which may be applicable for any particular BEATS Bank; (ix) harvest or otherwise collect information about others, including e-mail addresses, without their consent; and (x) violate any applicable laws or regulations.

Sentric has no obligation to monitor the BEATS Bank. However, Sentric reserves the right to review materials posted to a BEATS Bank and to remove any materials in its sole discretion.

TERMINATION OF USE/ACCESS RESTRICTION

Sentric reserves the right, in its sole discretion, to terminate your access to the BEATS Banks and/or any or all of its related services or any portion thereof, at any time without notice for any reason whatsoever.

Sentric reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Sentric’s sole discretion.

LIABILITY DISCLAIMER

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE BEATS BANK MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN.

SENTRIC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE BEATS BANK AT ANY TIME.

SENTRIC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE BEATS BANK FOR ANY PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. SENTRIC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENTRIC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE BEATS BANK, WITH THE DELAY OR INABILITY TO USE THE BEATS BANK SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE BEATS BANK, OR OTHERWISE ARISING OUT OF THE USE OF THE BEATS BANK, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF SENTRIC OR ANY OF ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE BEATS BANK SERVICE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE BEATS BANK.

GENERAL

To the maximum extent permitted by law, this agreement is governed by the laws of the England and Wales, United Kingdom. in all disputes arising out of or relating to the use of the BEATS Bank. Use of the BEATS Bank is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Sentric as a result of this agreement or use of the BEATS Bank. Sentric's performance of this Agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Sentric's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the BEATS Bank or information provided to or gathered by Sentric with respect to such use. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Sentric with respect to the BEATS Bank and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Sentric with respect to the use of the BEATS Bank. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

TRADEMARKS

The names of actual companies and products mentioned herein may be the trademarks of their respective owners.
